ROC Chandigarh Imposes Rs 50,000 Penalty on Director for Holding Dual DINs

The Registrar of Companies (ROC) Chandigarh has imposed a penalty amounting to Rs 50,000 on Sadhika Gupta, director of a company named Ambika Wheels Private Limited, for the violation of Section 159 of the Companies Act, 2013, through an order dated March 23, 2026, passed under Section 454 of the Companies Act, 2013.

The company in default had voluntarily furnished an application under Section 454 of the Companies Act, 2013, read with the Companies (Adjudication of Penalties) Rules, 2014, acknowledging the non-compliance committed by it under Section 155 of the Companies Act, 2013. One of the directors of the company, named Smt Sadhika Gupta, had obtained two DINs (01164755 and 10103755) in the years 2007 and 2023, respectively. She claimed that the issuance of the second DIN, i.e., 10103755, was not intentional and was mistakenly issued on April 06 due to the lack of awareness and without any bad intention. The second DIN was supposed to be surrendered.

Any non-compliance committed under Sections 152, 155, or 156 of the Companies Act is liable for imposition of a penalty up to Rs 50,000. If the default is not rectified even after reminders, an extra penalty of up to Rs 500 per day can be imposed for each day the default continues after the first day. Considering the same, the office has imposed a penalty of Rs 50,000 on director Sadhika Gupta and directed her to rectify the default and pay the levied penalty amount within 90 days from the date of receiving the order.
